Non-Disclosure Obligations & Terms

1 By proceeding, the Receiving Party (Vendor) acknowledges and agrees to the following obligations: 1. **Confidentiality Obligation:** The Receiving Party shall hold all Confidential Information in strict confidence and shall not disclose, publish, or otherwise disseminate such information to any third party without prior written consent from the Disclosing Party. 2. **Permitted Use:** Confidential Information shall be used solely for the purpose of fulfilling the agreed-upon business engagement and for no other purpose. 3. **Protection Standards:** The Receiving Party shall protect Confidential Information using no less than the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. 4. **Non-Circumvention:** The Receiving Party shall not use Confidential Information to circumvent, compete with, or undermine the business interests of the Disclosing Party. 5. **Return of Materials:** Upon termination of the engagement or upon request, the Receiving Party shall promptly return or destroy all Confidential Information and any copies thereof. 6. **Breach Notification:** The Receiving Party shall immediately notify the Disclosing Party of any unauthorized disclosure or use of Confidential Information. 7. **Remedies:** The Receiving Party acknowledges that any breach may cause irreparable harm and that the Disclosing Party shall be entitled to seek injunctive relief in addition to any other remedies available at law. richtext
