Scope of Non-Disclosure Agreement
This Non-Disclosure Agreement ('Agreement') is entered into between the undersigned employee ('Receiving Party') and the Company ('Disclosing Party'). Key Terms & Obligations
1
**1. Non-Disclosure Obligation:** You agree not to disclose, publish, or otherwise disseminate any Confidential Information to any third party without prior written consent from the Company.
**2. Use Restriction:** Confidential Information shall be used solely for the purpose of performing your duties and responsibilities within the Company.
**3. Return of Materials:** Upon termination of employment or upon request, you shall promptly return or destroy all materials containing Confidential Information.
**4. Duration of Obligation:** Your obligation to maintain confidentiality shall survive for a period of two (2) years following the termination of your employment, unless a longer period is specified.
**5. Remedies:** You acknowledge that any breach of this Agreement may result in irreparable harm to the Company, entitling the Company to seek injunctive relief in addition to any other legal remedies.
**6. Exceptions:** This Agreement does not apply to information that (a) is or becomes publicly available through no fault of the Receiving Party; (b) was already known to the Receiving Party prior to disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law or court order.
